Ryan W. Newton
Ryan Newton has practiced transactional law with Turner Padget since graduating from law school in 2005. However, his ties to transactional law trace back further, since Ryan worked in his father’s real estate practice beginning in the mid-1990s. Today, focusing primarily on commercial real estate law, Ryan is capable of handling all aspects of complex real estate transactions. In addition, he has also been involved in complex corporate transactions not involving real estate. In his transactional practice, Ryan takes a common sense approach to make sure the deal is managed in a way that protects his clients’ interests, whether representing the buyer or seller, landlord or tenant, borrower or lender.
Ryan represents clients in their capacities as lenders, purchasers, sellers, developers, landlords and tenants in various transactions. He has been involved in the financing for nursing facilities, purchase, development, leasing and sale of shopping centers, purchase and development of residential subdivisions, acquisitions and financing of office buildings and multiple other real estate transactions. His familiarity with the aspects of a real estate transaction allows him to focus on the details necessary to complete a transaction efficiently and confidently. Ryan’s knowledge and familiarity of the unique laws affecting a transactional practice in South Carolina have served well in working on multi-state transactions, working with national tenants in negotiating leases and serving as local counsel for out-of-state clients.
Ryan was born and raised in South Carolina. He enjoys being outdoors, whether it is on a lake in the Upstate where he grew up, fishing along the coast or spending an afternoon on the golf course with friends. He has seen his small hometown grow, and continues to see development opportunities throughout the state. Ryan enjoys being involved in this process, and considers it his top priority to make sure that any transaction he works on is done right the first time.

Representative Matters
Commercial Lending and Financing
Served as lender’s counsel in a construction financing matter for the construction of multiple nursing and assisted living facilities throughout the state. Ryan developed a platform checklist and other loan documents for use in connection with construction lending.
Represented a lender in the financing of a multi-phase, mixed-use lakefront development consisting of condominium buildings, single-family lots, retail and other lake amenities.
Commercial Real Estate
Assisted in handling the acquisition and redevelopment of a property in the Five Points area of Columbia, S.C., originally designed as a mixed-use development that included retail space, a public parking garage and luxury condominiums.
Negotiated numerous leases with national tenants for a local and regional developer.
Worked with a residential subdivision developer to acquired large tracts for developing multiple subdivisions, including the acquisitions and construction financing, development of a form declaration of covenants, conditions, restrictions and easements, sale of lots, and the turnover of management to the homeowners’ association.
Mergers and Acquisitions
Handled the sale of an alcohol distributor client’s distribution rights with over thirty craft beer suppliers in South Carolina to a network of 10 distributor purchasers for a total purchase price of over $8 million.
Represented a client in acquiring approximately half of the membership interest in a real estate development company that owns and develops a large scale, high-end residential golf course community on the I-77 corridor in Columbia. Ryan conducted extensive due diligence on the company and its real estate assets and coordinated the drafting of the acquisition documentation, including a seller financing component.
